License
SpryCAD is proprietary software, used under the End User License Agreement below.
Pre-release. Until version 1.0, released builds may be used free of charge, for any purpose including commercial work, without a License or Seat.
Versions published under the MIT License before SpryCAD became proprietary remain available under that license.
SPRYCAD END USER LICENSE AGREEMENT
Copyright (c) 2026 Kurt Jacobson. All rights reserved.
This End User License Agreement (the "Agreement") is a legal agreement between
you (an individual, or the organization you act for) and Kurt Jacobson
("Licensor") for the SpryCAD software. By installing, copying or using the
Software, you agree to this Agreement. If you do not agree, do not install or
use the Software. If you accept on behalf of an organization, you confirm that
you have the authority to bind it.
1. DEFINITIONS
"Software" means SpryCAD in object code form, including its updates, sample
files, libraries of standard parts and the documentation that comes with it.
"Account" means the account you create with Licensor to sign in to the
Software.
"License" means the right to use the Software that you acquire under an Order,
or the trial described in Section 3.3.
"Order" means your purchase of a License, made through Licensor's website or
its authorized reseller, and the receipt or invoice that confirms it.
"Seat" means the right for one named individual to edit documents with the
Software, or, for a floating License, one of the edits at a time that a pool
of Seats allows.
"Updates Period" means the period, stated in your License, during which you
are entitled to new versions of the Software.
"Your Content" means the parts, assemblies, drawings and other files you
create, open or export with the Software.
2. VIEWING WITHOUT A LICENSE
You may install the Software on any number of devices and use it, without a
License, to open, view, measure, print and export documents, and to save
changes already made. Editing documents requires a License and a Seat.
3. LICENSE GRANT
3.1 Grant. Subject to this Agreement and to payment of the applicable fees,
Licensor grants you a non-exclusive, non-transferable (except as stated in
Section 3.6), non-sublicensable license to install and use the Software for
your internal business or personal purposes, within the limits of your
License.
3.2 Kinds of License. The kind of License and the number of Seats are stated
in your Order:
(a) Named Seat: one named individual may use the Software on any number of
devices, editing on one device at a time.
(b) Team: an organization holds a number of Named Seats and assigns each to
one of its members. A Seat may be reassigned as the Software and the
Account portal allow.
(c) Floating: an organization holds a pool of Seats, which its members may
share, editing on no more devices at a time than the pool allows.
(d) Offline activation: a Seat activated on one identified device that is
not connected to the internet, until it is released.
3.3 Trial. Licensor may offer a trial License without charge, for evaluation
only, limited to the days of use and the period the Software states. When the
trial ends, the Software opens documents for viewing only. Your Content is not
affected.
3.4 Perpetual use and updates. Your License to a version of the Software is
perpetual. Your License covers every version released on or before the end of
your Updates Period. A version released after your Updates Period ends is not
covered until you renew; the latest version released within your Updates
Period remains licensed to you without time limit. Renewal is on the terms in
effect when you renew.
3.5 License server. The Software checks your License and Seats with
Licensor's license server, and works offline for the period the Software
states. If Licensor permanently stops operating the license server, Licensor
will make available a version of the Software, or a key, that lets licensed
users keep using the Software they are licensed for without it.
3.6 Transfer. You may not transfer a License except, for an organization, to
a successor to substantially all of its business, with notice to Licensor.
4. RESTRICTIONS
Except as this Agreement expressly allows or applicable law permits despite
this restriction, you must not:
(a) copy the Software, except to install it as allowed above and for
backup;
(b) modify, translate or create derivative works of the Software;
(c) reverse engineer, decompile or disassemble the Software;
(d) remove, bypass, disable or interfere with the license checks, Seat
limits or any technical protection of the Software;
(e) share an Account or Seat beyond what your License allows;
(f) rent, lease, lend, sell, sublicense or distribute the Software, or
provide it as a hosted service to others;
(g) remove or alter any copyright, trademark or other notice in the
Software; or
(h) use the Software in breach of applicable law, including export control
law.
5. YOUR CONTENT
You own Your Content. Licensor claims no rights in it. The Software does not
mark documents with the kind of License they were made under; files made
during a trial are ordinary files.
6. ACCOUNT AND DATA
You are responsible for your Account's sign-in and for activity under it. To
check Licenses and Seats, the Software sends Licensor your Account, an
installation identifier, the name of your device and the times of editing
sessions. It does not send Your Content. Licensor handles this information as
described in its privacy policy at https://sprycad.com.
7. FEES AND REFUNDS
Fees, taxes and refunds are as stated in your Order and in the terms of the
reseller that processes it. Unless the Order states otherwise, fees are not
refundable.
8. THIRD-PARTY COMPONENTS
The Software includes components licensed by third parties under their own
terms, listed in the THIRD-PARTY-NOTICES.txt file that comes with the
Software. Those terms govern your use of those components, and nothing in this
Agreement limits the rights they give you.
9. OWNERSHIP
The Software is licensed, not sold. Licensor and its licensors keep all right,
title and interest in the Software, including all intellectual property
rights. All rights not expressly granted are reserved. If you send Licensor
suggestions or feedback, Licensor may use them without obligation to you.
10. TERM AND TERMINATION
This Agreement lasts until terminated. Licensor may terminate your License if
you materially breach this Agreement and do not cure the breach within 30 days
of notice. On termination you must stop using the Software beyond the viewing
allowed by Section 2. Sections 4, 5 and 9 through 15 survive termination.
11. DISCLAIMER OF WARRANTIES
TO THE EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" AND "AS
AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND
NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE
UNINTERRUPTED OR ERROR FREE.
The Software is a design tool. Geometry, dimensions, mass properties,
interference results, flat patterns, exported files and other results may
contain errors. You are solely responsible for checking every result, and for
the suitability, safety and compliance of any design, part or product made
with the Software, before it is manufactured or used.
12. LIMITATION OF LIABILITY
TO THE EXTENT PERMITTED BY LAW: (a) LICENSOR IS NOT LIABLE FOR ANY INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF
PROFITS, REVENUE, DATA OR USE, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (b)
LICENSOR'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE
SOFTWARE IS LIMITED TO THE FEES YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS
BEFORE THE CLAIM AROSE, OR US $50 IF YOU PAID NONE.
Some jurisdictions do not allow these exclusions or limitations, so some of
them may not apply to you.
13. EXPORT AND GOVERNMENT USE
You will comply with all applicable export control and sanctions laws in using
the Software. The Software is "commercial computer software" and its
documentation "commercial computer software documentation" under FAR 12.212
and DFARS 227.7202; United States government users receive only the rights
this Agreement grants to all users.
14. GOVERNING LAW
This Agreement is governed by the laws of the State of Georgia, United States
of America, without regard to its conflict of laws rules. The United Nations
Convention on Contracts for the International Sale of Goods does not apply.
The state and federal courts located in Georgia have exclusive jurisdiction
over any dispute arising out of or relating to this Agreement, and both
parties consent to their jurisdiction.
15. GENERAL
This Agreement, together with your Order, is the entire agreement between you
and Licensor about the Software, and replaces any earlier agreement about it.
If any provision is held unenforceable, it will be enforced to the extent
possible and the rest of this Agreement stays in effect. A failure to enforce
a provision is not a waiver. Licensor may assign this Agreement to a successor
to its business. Licensor may update this Agreement for new versions of the
Software; the version of this Agreement that comes with a version of the
Software governs that version.
